Terms of Sale

These Terms of Sale govern all purchases of products from Peptigen Bioscience.

1. Agreement

These Terms of Sale (“Terms”) form a binding agreement between you (“Buyer”) and Peptigen Bioscience (“Company”, “we”, “us”). By placing an order, you accept these Terms, our Research Use Policy, and our Privacy Policy. If you do not agree, do not place an order.

2. Research use only

All products are sold strictly for in-vitro laboratory research use only (“RUO”). Products are not for human or veterinary use, are not drugs, food, dietary supplements, or cosmetics, have not been approved by the U.S. Food and Drug Administration, and are not intended to diagnose, treat, cure, or prevent any disease.

3. Buyer representations and warranties

By placing an order, Buyer represents and warrants that:

  1. Buyer is at least 21 years of age.
  2. Buyer is a qualified researcher, or is purchasing on behalf of a qualified research organization, with the training, facilities, and equipment appropriate to handle research chemicals safely.
  3. Products will be used solely for lawful in-vitro laboratory research and will not be administered to, or otherwise introduced into, humans or animals by any route.
  4. Buyer will not resell, relabel, or distribute products for any purpose inconsistent with these Terms, and will not represent products as fit for human or animal use.
  5. Buyer will comply with all applicable federal, state, and local laws and regulations relating to the purchase, possession, storage, use, and disposal of the products.
  6. All information provided by Buyer, including attestations made at checkout, is true and accurate.

4. Orders, acceptance, and right to cancel

An order is an offer to purchase. We may accept or decline any order in our sole discretion. We reserve the right to refuse or cancel any order, at any time before shipment, including where:

  • the order, Buyer communications, account information, or other circumstances indicate or suggest an intended use in humans or animals, or any use outside laboratory research;
  • Buyer fails to complete, or provides inaccurate, attestations or verification information;
  • shipment to the destination is restricted or prohibited; or
  • pricing or product information was listed in error.

Cancelled orders will be refunded to the original payment method. We may decline future orders from any Buyer whose order was cancelled under this section.

5. No medical advice

Nothing on our website, in our product documentation, or in any communication from us constitutes medical, veterinary, or health advice. We do not provide any guidance regarding the use of products in humans or animals and will not respond to requests for such guidance.

6. Product information and Certificates of Analysis

Technical information is provided for identification purposes and is taken from supplier and third-party laboratory documentation. Certificates of Analysis are specific to the lot tested. Information marked “pending” has not yet been published. We make no representation regarding any biological activity of any product.

7. Pricing and payment

Prices are in U.S. dollars and exclude applicable taxes and shipping unless stated otherwise. Payment terms will be specified at checkout. [PAYMENT TERMS PLACEHOLDER]

8. Shipping, title, and risk of loss

10. Disclaimer of warranties

EXCEPT FOR THE EXPRESS WARRANTY THAT PRODUCTS WILL CONFORM TO THE PURITY SPECIFICATION STATED ON THE APPLICABLE CERTIFICATE OF ANALYSIS AT THE TIME OF SHIPMENT, PRODUCTS ARE PROVIDED “AS IS”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO ANY ORDER SHALL NOT EXCEED THE AMOUNT PAID BY BUYER FOR THE PRODUCTS GIVING RISE TO THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OR INJURY ARISING FROM USE OF PRODUCTS CONTRARY TO THESE TERMS OR THE RESEARCH USE POLICY.

12. Indemnification

Buyer will defend, indemnify, and hold harmless Peptigen Bioscience and its officers, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from Buyer’s breach of these Terms, misuse of products, or violation of applicable law.

13. Governing law and disputes
